Terms and Conditions of Service
KTC Global Logistics Co., Ltd.

These Terms and Conditions set out the general rules for services provided by KTC Global Logistics Co., Ltd. (“KTC”). They apply together with KTC’s quotations, booking confirmations, transport documents and service agreements between KTC and the customer, unless KTC and the customer agree otherwise in writing.

The customer should read these Terms and Conditions before confirming a quotation, placing a booking, handing over goods or using KTC’s services.

Where the customer confirms a quotation, places a booking, sends documents or information, pays service fees, hands over goods or allows KTC to start work after KTC has notified or referred the customer to these Terms and Conditions, the customer is deemed to accept them to the extent permitted by law.

Where the law requires an exclusion or limitation of liability to be expressly agreed, that provision takes effect when there is evidence of the customer’s acceptance through a quotation, job confirmation, purchase order, email, electronic message, transport document or other related document.

1. Definitions

1.1 “Customer” means any individual or legal entity that engages, requests, coordinates or is liable to pay for KTC’s services, including the shipper, consignee, owner of the goods, importer, exporter, agent or any other person with rights or an interest in the goods, as the case may be.

1.2 “Shipper” means the person or entity named as shipper, or who hands over the goods to KTC or a subcontractor.

1.3 “Consignee” means the person or entity named as consignee in the transport documents or the customer’s instructions.

1.4 “Goods” means any goods, parcels, documents, containers, packaging or property related to KTC’s services.

1.5 “Shipment” means all goods handled under the same booking, quotation, bill of lading, cargo receipt or reference number, regardless of the number of pieces, packages or pallets, or whether more than one trip is needed.

1.6 “Services” means international or domestic freight forwarding, transport by air, sea, road, rail or multimodal transport, FCL or LCL shipping, customs clearance, pickup and delivery, packing, storage, cargo insurance coordination, permit coordination and any other logistics services KTC agrees to provide.

1.7 “Subcontractor” means any airline, shipping line, road carrier, rail carrier, co-loader, overseas agent, customs broker, clearing agent, warehouse, stevedore, port or airport operator, insurer or other third party appointed or used by KTC to perform all or part of the work.

1.8 “Quotation” means any quotation, email, message or other document KTC uses to state prices, service scope, assumptions and job-specific conditions.

1.9 “Transport document” means any bill of lading, air waybill, cargo receipt, delivery note, booking, road transport document or other document issued for a shipment.

1.10 “Business day” means KTC’s normal working days, excluding Saturdays, Sundays, public holidays and holidays announced by KTC or the relevant authorities.

2. Acceptance and order of precedence of documents

2.1 These Terms and Conditions apply to all of KTC’s services and form part of KTC’s quotations, booking confirmations, bills of lading, invoices, cargo receipts, customer account forms and other service documents when those documents refer to them.

2.2 Acceptance of these Terms and Conditions may be shown by signature, acceptance of a quotation or job confirmation, acceptance by email or electronic channel, issue of a purchase order, placing a booking, payment, sending documents or handing over goods to KTC after these Terms and Conditions have been notified or referred to the customer, in accordance with and to the extent permitted by law.

2.3 If documents conflict, they apply in the following order:

(1) A specific agreement signed by a director or authorised representative of KTC
(2) Specific conditions stated in the quotation or job confirmation
(3) The relevant bill of lading or transport document
(4) These Terms and Conditions
(5) The subcontractor’s conditions

2.4 Purchasing terms, purchase order terms or other terms issued unilaterally by the customer do not bind KTC unless accepted in writing by an authorised person of KTC.

2.5 Any amendment or waiver of these terms is effective only if made in writing and approved by a director or authorised representative of KTC.

3. KTC’s status and scope of services

3.1 KTC provides services as a freight forwarder, agent, coordinator or intermediary in arranging and coordinating transport services, depending on the nature and scope of each job, unless mandatory law, a transport document or a written agreement gives KTC a different status.

3.2 KTC issuing a bill of lading, collecting freight or coordinating transport does not make KTC liable beyond the status and liability set by law or the transport document.

3.3 KTC may choose the route, mode of transport, subcontractors, storage locations, transshipment points and working methods it considers appropriate, unless the customer has specified particular requirements and KTC has accepted them in writing.

3.4 KTC may consolidate the goods with other people’s goods, transship them, use multimodal transport or split the shipment into several trips if it considers this appropriate for the operation.

3.5 Unless agreed in writing, KTC does not guarantee any route, provider, flight, sailing, departure date, arrival date, transit time or connection between transport legs.

3.6 KTC has no duty to check the commercial suitability, reliability, solvency, validity of the sales contract or ability to perform of the customer’s trading partners.

3.7 KTC’s scope of services is limited to the items stated in the quotation or confirmed in writing. Work or costs not stated are deemed not included.

4. Appointment of subcontractors

4.1 The customer agrees that KTC may appoint subcontractors to perform all or part of the services without asking the customer’s approval each time.

4.2 KTC may choose or change subcontractors based on price, space, schedule, route, safety and operational constraints.

4.3 Services of subcontractors may be subject to their own conditions, bills of lading, limitations of liability, international conventions, laws or regulations.

4.4 KTC may rely on the rights, exclusions and limitations of liability that its subcontractors are entitled to rely on, to the extent permitted by law.

4.5 KTC is not responsible for the acts, omissions, errors, delays, cancellations or service changes of subcontractors, unless the customer proves that the damage was caused directly by KTC’s wilful misconduct or negligence in selecting or instructing that subcontractor.

4.6 Any liability of KTC under clause 4.5 remains subject to the exclusions and limitations of liability in these terms.

5. Customer’s authority, duties and warranties

5.1 The customer warrants that it has lawful authority to engage KTC and deal with the goods, and authority to accept these terms on behalf of the owner of the goods, the shipper, the consignee and anyone with an interest in the goods.

5.2 If the customer is not the owner of the goods, the customer warrants that it has the owner’s authorisation to act and to accept these terms.

5.3 The customer must provide accurate, complete, clear and timely information and documents as requested by KTC, subcontractors or the relevant authorities, including:

(1) Names and addresses of the shipper and consignee
(2) Description, type, quantity, weight, dimensions and value of the goods
(3) Tariff classification, country of origin and intended use
(4) Trade documents, permits, certificates and regulatory information
(5) Hazardous characteristics, temperature requirements, shelf life or special handling
(6) Terms of sale, Incoterms and the party responsible for costs
(7) Any other information needed for transport or legal compliance

5.4 The customer is responsible for the accuracy of all information, documents, signatures, seals, tariff classifications, values, origin, quantities, weights and goods descriptions provided to KTC.

5.5 If information or documents are inaccurate, incomplete, late or changed, the customer is responsible for all resulting costs, duties and taxes, fines, storage, inspection, unpacking, document correction, waiting time and damages.

5.6 The customer must notify KTC immediately on becoming aware that information or documents provided are incorrect, or of any change to the goods, route, consignee or legal requirements.

5.7 Instructions or confirmations KTC receives by email, chat application or other electronic channel from persons the customer regularly uses to communicate with KTC are deemed authorised by the customer, unless the customer has notified KTC of restrictions in writing in advance.

5.8 The customer must check the details in quotations, booking confirmations, draft bills of lading, customs declarations and other documents promptly. If the customer does not object within the time set by KTC, the customer is deemed to confirm their accuracy, to the extent permitted by law.

6. Packing and labelling

6.1 The customer must pack the goods suitably for their nature, the mode of transport, distance, handling, stacking, transshipment and conditions that may arise in transit.

6.2 The customer must label the goods with clear, correct and lawful labels, marks, package numbers, warnings and delivery information.

6.3 If KTC receives goods already packed, sealed or loaded into a container by the customer or another person, KTC has no duty to check the quantity, condition, weight, quality or contents, unless KTC agrees in writing to inspect them.

6.4 KTC is not responsible for damage caused by unsuitable packaging, pre-existing defects, incorrect stowage, improper weight distribution or sealing by the customer or another person.

6.5 If KTC considers the packaging unsuitable, KTC may refuse, suspend or arrange additional packing at the customer’s cost and risk.

6.6 KTC’s acceptance of the goods does not mean KTC certifies the packaging as suitable or sufficient for transport.

7. Dangerous, controlled and prohibited goods

7.1 The customer must not hand over dangerous goods, controlled goods or goods requiring special care to KTC without prior written notice and KTC’s confirmation of acceptance.

7.2 Goods under clause 7.1 include, but are not limited to:

(1) Explosives, flammable substances, chemicals, gases and hazardous materials
(2) Lithium batteries, magnets, radioactive materials or goods subject to dangerous goods regulations
(3) Food, medicines, cosmetics, medical devices and goods controlled by the Thai Food and Drug Administration
(4) Goods that need a licence or standard from the Thai Industrial Standards Institute, the NBTC, the Department of Agriculture, the Department of Fisheries, the Department of Livestock Development or other agencies
(5) Perishable goods, temperature-controlled goods, live organisms, plants or animals
(6) Cash, bearer instruments, gold, gemstones, precious metals, artwork or high-value goods
(7) Firearms, ammunition, explosives, military equipment and related parts
(8) Narcotics, obscene materials, counterfeit goods, goods infringing intellectual property or illegal items
(9) Waste, used materials, used machinery or goods under environmental restrictions
(10) Goods subject to sanctions, export controls or trade prohibitions

7.3 The customer must correctly declare the technical name, hazard class, UN number, safety data sheet, packing method and related requirements.

7.4 Declaring only a trade name or “general cargo” is not a complete declaration of the nature of the goods.

7.5 If the customer conceals, incompletely declares or misdeclares information, KTC may refuse, suspend, unload, store, return, destroy or take any other action necessary for safety or legal compliance without liability to the customer, unless mandatory law provides otherwise.

7.6 The customer must indemnify all costs, damages, fines, claims and liabilities arising from goods the customer concealed or misdeclared.

8. Inspection of goods

8.1 KTC and its subcontractors have the right, but not the duty, to open, inspect, scan, weigh, measure, photograph, test or sample goods where reasonably justified, for safety, legal compliance, government orders or subcontractor requirements.

8.2 If KTC or a subcontractor does not inspect the goods, this does not mean KTC certifies the accuracy of the goods description, condition, packaging or the customer’s documents.

8.3 Costs of inspection, opening, repacking, moving, storage or actions by government agencies are borne by the customer, unless caused directly by KTC’s fault.

8.4 If an inspection finds that the goods do not match the information provided by the customer, KTC may amend documents, adjust prices, suspend work or act as required by subcontractors or government agencies, at the customer’s cost.

9. Customs clearance and permits

9.1 When the customer engages KTC for customs clearance, the customer appoints KTC, or a clearing agent arranged by KTC, to act within the scope of the power of attorney and as permitted by law.

9.2 The customer must provide a power of attorney, registration or other steps needed for KTC or the clearing agent to carry out customs formalities.

9.3 KTC carries out customs clearance based on the information, documents, tariff classification, value, country of origin and explanations provided by the customer or owner of the goods.

9.4 The customer is responsible for the accuracy and completeness of the information declared to the Customs Department and other agencies, even if KTC gives advice or helps check or prepare documents.

9.5 Advice on tariff classification, duty rates, taxes, import or export measures and permits is only a preliminary assessment based on available information and does not guarantee the rulings of the Customs Department or other government agencies.

9.6 KTC has no power to guarantee that a tariff classification, tax rate, tax privilege or supporting document will be accepted by government agencies.

9.7 Rulings, valuations, classifications, tax assessments or orders of government agencies are final for that operation, unless the customer instructs in writing that they be disputed or appealed and bears all related costs.

9.8 The customer must obtain the necessary permits, certificates, registrations and approvals, unless KTC agrees in writing to handle them.

9.9 KTC agreeing to coordinate a permit does not mean KTC guarantees that the permit will be approved or that the goods will be released within any particular time.

9.10 Taxes, duties, fees, fines, surcharges, deposits, storage charges and costs levied by government agencies are borne by the customer, even if KTC pays them in advance.

9.11 If a government agency orders the goods to be inspected, detained, seized, returned, destroyed or otherwise dealt with, the customer bears all resulting costs and consequences, unless caused directly by KTC’s wilful misconduct or negligence.

10. Calculation of charges

10.1 Air freight charges may be calculated on actual weight or volumetric weight, whichever is higher, or according to the airline’s criteria.

10.2 LCL charges may be calculated by weight, volume, revenue ton or weight/measurement according to the provider’s criteria.

10.3 FCL charges may be calculated by the number and type of containers, route, cargo weight and the shipping line’s requirements.

10.4 Road freight charges may be calculated by truck type, distance, weight, volume, waiting time, pickup and delivery points and cargo restrictions.

10.5 Weighing, measuring or inspection results from airlines, shipping lines, ports, airports, warehouses or subcontractors are used as the basis for calculating charges.

10.6 If the weight, dimensions, quantity or description provided by the customer differs from the actual goods, KTC may adjust charges and collect additional costs.

10.7 Weights and dimensions stated in a quotation are preliminary until weighing or measuring results are received from the relevant provider.

11. Quotations and additional charges

11.1 A quotation is valid for the period stated in it. If no period is stated, it is valid for seven days from the date of issue and is subject to space, equipment, schedules and confirmation from subcontractors.

11.2 Quoted prices are based on the information and assumptions provided by the customer. If the information, scope, route, quantity, weight, dimensions, pickup date or other conditions change, KTC may adjust the price.

11.3 Unless stated otherwise, prices exclude duties and taxes, government charges, permit fees, storage, demurrage, detention, waiting time, port storage, airport storage, inspection fees, unpacking, document amendment fees, destination charges and other special costs.

11.4 KTC may charge additional costs actually incurred from subcontractors, government agencies or events beyond KTC’s control, even if those costs are not stated in the quotation.

11.5 Freight and charges may change due to fuel costs, exchange rates, war, risk, routing, equipment shortages, schedule changes or fees set by providers. KTC may adjust prices in line with actual costs.

11.6 Exchange rates are those set by KTC on the invoice date or the date of payment to the provider, as applicable.

11.7 Unless the quotation states otherwise, KTC’s fees for customs clearance, domestic transport and DDP handling include 7% VAT, but exclude import duties, advance payments and third-party costs.

12. Payment

12.1 The customer must pay service fees, duties and taxes, advance payments and other charges within the time stated in the invoice.

12.2 If no credit line has been approved, the customer must pay before KTC starts work, before documents are released, before goods are delivered or when KTC requests.

12.3 KTC may require the customer to pay additional costs or place a deposit before continuing work if actual costs exceed the estimate.

12.4 The customer may not set off, deduct, withhold payment or deduct damages from an invoice on the basis of a claim not accepted in writing by KTC, unless the law provides otherwise.

12.5 If the customer defaults, KTC may charge interest at 15% per year or the maximum rate permitted by law, whichever is lower, from the due date until payment in full.

12.6 The customer is responsible for collection costs, bank charges, legal fees, court fees and reasonable expenses incurred by KTC in collecting debts, to the extent permitted by law.

12.7 An agreement that the shipper, consignee or overseas agent will pay the charges does not release the customer from liability if that person does not pay.

12.8 Partial payment does not mean KTC waives its right to collect the balance or other charges.

13. Advance payments and credit to third parties

13.1 KTC has no duty to advance freight, duties, fees or other costs on the customer’s behalf unless KTC agrees.

13.2 If KTC makes an advance payment, the customer must repay it immediately on demand, together with any advance fee or finance charge notified.

13.3 KTC may request a deposit or security in advance if significant duties, taxes or costs are expected.

13.4 If the amount deposited by the customer is insufficient, the customer must pay the difference immediately on notice.

13.5 KTC has no duty to extend credit to the consignee, shipper or the customer’s agents unless approved in writing.

14. Lien and suspension of services

14.1 KTC has a lien over goods, documents, bills of lading, refunds or any property of the customer in KTC’s possession or control as security for all debts owed by the customer to KTC, whether arising from the same shipment, another shipment or other services, and whether principal, duties and taxes, interest or costs, to the extent permitted by law.

14.2 KTC may suspend bookings, transport, delivery, release of documents, customs clearance or other services if the customer has outstanding payments, fails to provide advance funds, fails to send documents or does not comply with these terms.

14.3 Storage, container rental, waiting time and costs arising from the exercise of the lien or suspension of services are borne by the customer.

14.4 If the customer does not pay within a reasonable time after written notice, KTC may sell the goods to the extent permitted by law and apply the proceeds to the debt, interest and costs.

14.5 If the proceeds of sale are insufficient, the customer remains liable for the shortfall.

14.6 KTC’s lawful exercise of its lien or suspension of services is not a breach of contract and does not make KTC liable for resulting delays or costs.

15. Delivery and undeliverable goods

15.1 Delivery to the consignee, a person at the delivery address, warehouse staff, a contractor or the consignee’s agent is deemed complete delivery if it follows the normal practice for that type of transport.

15.2 The customer must ensure the pickup or delivery location has suitable access, space, equipment and personnel for handling the goods.

15.3 If the goods cannot be delivered because the address is incorrect, the consignee cannot be contacted, the consignee refuses the goods, the consignee does not pay taxes or charges, there is no permit, the location is not ready or for any other reason not caused by KTC, KTC may:

(1) Store the goods
(2) Return the goods
(3) Change the place of delivery
(4) Deliver them to a warehouse or another person
(5) Sell, destroy or abandon the goods to the extent permitted by law

15.4 Actions under clause 15.3 are at the customer’s cost and risk.

15.5 For perishable goods, dangerous goods or goods that may cause damage, KTC may take urgent action as necessary without waiting for the customer’s instructions, to the extent permitted by law.

15.6 If the customer or consignee accepts delivery without noting any reservation, it is presumed that the goods were delivered complete and in apparent good order.

16. Schedules and delays

16.1 Dates and times for pickup, departure, transshipment, arrival or delivery are estimates only and are not guarantees or commitments, unless KTC expressly guarantees them in writing.

16.2 KTC is not responsible for loss caused by delays, vessel or flight changes, cancellations, rollovers, blank sailings, off-loading, port omissions, re-routing, missed connections or schedule changes by subcontractors, unless mandatory law provides otherwise.

16.3 KTC is not responsible for delays caused by government agencies, weather, congestion, equipment shortages, cargo inspections, document or permit issues or other events beyond KTC’s reasonable control.

16.4 If KTC becomes aware of a significant delay, KTC will try to inform the customer within a reasonable time, but failure to notify immediately does not make KTC liable unless caused directly by KTC’s wilful misconduct or negligence.

16.5 Delivery deadlines, factory opening dates, production start dates or the customer’s contracts with third parties do not bind KTC unless KTC expressly accepts them in writing.

17. Force majeure and events beyond control

17.1 KTC is not in breach of contract or liable for failure to perform or delay caused by events beyond its reasonable control, including but not limited to:

(1) Natural disasters, floods, storms, earthquakes, fire or epidemics
(2) War, terrorism, riots, sanctions or civil unrest
(3) Strikes, shortages of labour, fuel, equipment or space
(4) Closure of ports, airports, roads, border checkpoints or government offices
(5) Orders, seizure, quarantine or actions of government agencies
(6) Failures of computer systems, customs systems, communication systems or infrastructure
(7) Acts or omissions of subcontractors
(8) Late information, documents, instructions or payment from the customer
(9) Re-routing or safety restrictions
(10) Any other event KTC could not prevent or avoid by exercising reasonable care

17.2 KTC may suspend, change or cancel affected services and charge the costs actually incurred.

17.3 If such an event continues, KTC may return, store, re-route or stop the operation at the customer’s cost and risk.

18. KTC’s liability and limitation of liability

18.1 Subject to the exclusions and limitations of liability in these terms, KTC is liable only for direct loss or damage that the customer proves was caused by KTC’s wilful misconduct or negligence in performing the services for which KTC is directly responsible.

18.2 KTC is not liable for indirect, consequential, special or punitive loss or damage, including but not limited to:

(1) Loss of profit, revenue, interest or business opportunity
(2) Loss of market, customers, reputation or data
(3) Interruption of production or business
(4) Defaults or penalties the customer owes to third parties
(5) Losses from exchange rates or price fluctuations
(6) Loss of use of the goods
(7) Loss caused by delay, unless mandatory law provides otherwise

18.3 KTC is not liable for loss, damage or delay caused by any of the following:

(1) The inherent nature, internal defect or deterioration of the goods
(2) Evaporation, shrinkage, rust, mould, moisture or temperature changes
(3) Packaging that was unsuitable, insufficient or damaged before KTC received the goods
(4) Packing, stowage, weight distribution or sealing carried out by the customer or another person
(5) Acts or omissions of the customer, shipper, consignee, owner of the goods or their agents
(6) Information, documents, tariff classification, value or goods descriptions that were inaccurate, incomplete or late
(7) Inspection, seizure, quarantine, refusal of import or export, or orders of government agencies
(8) Dangerous, prohibited or controlled goods not correctly notified or declared
(9) Force majeure or events beyond KTC’s reasonable control
(10) Damage that could not be detected from the external condition at the time the goods were received
(11) Theft or acts of third parties that KTC could not prevent by exercising reasonable care

18.4 KTC is not liable for the acts, omissions, errors, delays, re-routing, schedule changes, service cancellations or defaults of airlines, shipping lines, road carriers, co-loaders, overseas agents, customs brokers, warehouses, subcontractors or other third-party providers, unless the customer proves the damage was caused directly by KTC’s wilful misconduct or negligence in selecting or instructing that provider.

18.5 Where an applicable law, international convention, bill of lading, transport document or carrier’s conditions sets liability or limits of liability, those apply before the provisions of this clause.

18.6 Where no applicable law or convention sets a liability limit, KTC’s maximum total liability, whether in contract, tort or otherwise, is limited to the lowest of:

(1) The direct loss proven by the customer
(2) The actual invoice value of the part of the goods lost or damaged, or
(3) THB 2,000 per shipment

18.7 The THB 2,000 limit under clause 18.6 is the maximum total liability per shipment, regardless of the number of pieces, packages, pallets or containers in the shipment or the number of claims.

18.8 All claims arising from the same event, connected events or the same shipment are treated as one claim and are subject to the total limit in clause 18.6.

18.9 Where the loss does not involve physical damage to the goods, including errors in documents, coordination, booking, document issue, customs clearance or other services, KTC’s maximum total liability is limited to the lowest of:

(1) The direct loss proven by the customer
(2) The net service fee KTC received for the part of the service that caused the loss, or
(3) THB 2,000 per job

18.10 In no event will KTC’s liability exceed the actual loss incurred or the limits set in clauses 18.5 to 18.9.

18.11 The customer acknowledges that KTC’s rates are set taking into account the exclusions and limitations of liability in these terms.

18.12 If the customer considers the THB 2,000 limit insufficient, the customer must declare the value of the goods and ask KTC to arrange cargo insurance, or request a higher liability limit in writing, before KTC receives the goods, starts work or confirms the booking.

18.13 An increased liability limit takes effect only when KTC accepts it in writing and the customer has paid the additional charge or premium in full.

18.14 If the customer does not request insurance or a higher liability limit before services begin, the customer is deemed to accept the risk above KTC’s liability limit, to the extent permitted by law.

18.15 The exclusions and limitations of liability in these terms do not apply only to the extent the law prohibits excluding or limiting liability, including where a final court judgment finds that the loss was caused by KTC’s wilful misconduct or gross negligence.

18.16 The customer may not claim damages personally from KTC’s directors, staff, employees, agents or subcontractors, and those persons may rely on the exclusions and limitations of liability in these terms to the extent permitted by law.

19. Cargo insurance

19.1 KTC will arrange or coordinate cargo insurance only when the customer requests it in writing, provides complete information and pays the premium before cover begins.

19.2 Normal transport services do not include cargo insurance unless the quotation expressly states it.

19.3 KTC only coordinates the arrangement of insurance. KTC is not the insurer and does not guarantee that the insurer will accept the risk or pay a claim.

19.4 Cover, exclusions, deductibles, procedures and claim amounts follow the policy and the insurer’s decision.

19.5 The customer must accurately disclose the type of goods, value, packaging, route, loss history and other information requested by the insurer.

19.6 Cargo insurance does not cover indirect loss or loss from delay unless the policy states otherwise.

19.7 The customer must comply with the policy conditions, take steps to minimise loss, keep the goods and packaging, and report incidents within the required time.

19.8 Arranging cargo insurance does not increase or change KTC’s liability under these terms.

20. Notice of loss and claims

20.1 The customer must check the condition, quantity and packaging of the goods immediately on delivery.

20.2 Visible damage or shortage must be noted as a reservation on the delivery document and notified to KTC in writing on the day of delivery.

20.3 Damage that cannot be detected externally must be notified to KTC in writing within seven days of delivery.

20.4 Non-delivery or total loss must be notified to KTC in writing within fourteen days of the date the goods should reasonably have been delivered.

20.5 Errors in documents, customs clearance, coordination or other services must be notified to KTC in writing within seven days of the date the customer knew or should have known of the grounds for the claim.

20.6 A claim must state the details of the loss and the amount claimed, with at least the following supporting documents:

(1) Letter of claim
(2) Commercial invoice and packing list
(3) Transport documents
(4) Proof of delivery with reservations
(5) Photos of the goods and packaging
(6) Survey report, if any
(7) Evidence of the amount of loss
(8) Other documents requested by KTC, the carrier or the insurer

20.7 The customer must keep the goods and packaging for inspection and take reasonable steps to prevent further loss.

20.8 KTC may reject any part of the loss that increased because the customer did not take reasonable steps to mitigate or prevent it.

20.9 KTC receiving a claim, inspecting or helping to coordinate does not mean KTC accepts liability.

20.10 Only one total claim may be made per shipment. The customer may not split claims arising from the same event into several claims to increase the liability limit.

20.11 Notices and legal proceedings must be within the time limits set by the applicable law, convention, bill of lading or carrier’s conditions. If those time limits differ from these terms, the time limits of the law or those documents apply.

20.12 Failure to give notice within the time limits in this clause is prima facie evidence that the goods were delivered complete and in good order, unless mandatory law provides otherwise.

21. Indemnity in favour of KTC

21.1 The customer agrees to indemnify and hold harmless KTC, its directors, staff, agents and subcontractors from all liabilities, claims, fines, duties and taxes, costs and damages arising from:

(1) Breach of these terms or of the customer’s warranties
(2) Information or documents that are inaccurate, incomplete or false
(3) Incorrect declaration of the goods, tariff classification, value or country of origin
(4) Unsuitable packaging or unsafe packing of the goods
(5) Undeclared dangerous, prohibited or controlled goods
(6) Infringement of laws, intellectual property rights or the rights of others
(7) Claims by the owner of the goods, shipper, consignee or third parties exceeding KTC’s liability under these terms
(8) Non-payment of duties, taxes, freight or charges by any person the customer nominated to pay
(9) Use of the goods for unlawful purposes

21.2 The customer does not have to indemnify to the extent a final court judgment finds that the loss was caused by KTC’s wilful misconduct or gross negligence.

21.3 The obligation to indemnify under this clause continues even after the services or the contract between KTC and the customer end.

22. Cancellation or change of bookings

22.1 Cancellation, postponement or change of a booking must be confirmed by KTC.

22.2 The customer is responsible for cancellation fees, space loss, no-show fees, dead freight, container return fees, document amendment fees, empty truck charges and other costs incurred.

22.3 If a booking is cancelled because the customer’s information, documents, permits or goods were not ready, the customer remains responsible for all costs already incurred by KTC or its subcontractors.

22.4 KTC may cancel or suspend a booking if a subcontractor cancels space or changes schedules, or for reasons of safety, law or payment, and KTC is not liable for any resulting indirect loss.

23. Legal compliance and sanctions

23.1 The customer warrants that the goods, contracting parties, shipper, consignee, banks, countries of origin and destination and related transactions do not breach applicable laws, sanctions, export controls, anti-money laundering or anti-corruption laws.

23.2 The customer must not use KTC’s services to evade tax, circumvent trade restrictions, conceal the true owner or carry out unlawful transactions.

23.3 KTC may refuse, suspend or cancel services if there are reasonable grounds to suspect the operation may breach the law or expose KTC or its subcontractors to risk.

23.4 KTC has no duty to disclose internal checks or detailed reasons if disclosure might breach the law, bank requirements or subcontractor requirements.

23.5 Costs and losses arising from suspension or cancellation under this clause are borne by the customer, unless the suspension or cancellation was caused directly by KTC’s fault.

24. Personal data and disclosure of information

24.1 The customer consents to KTC collecting, using, disclosing and transferring relevant information to subcontractors, affiliates, government agencies, insurers, banks and other persons as necessary for providing services, billing and legal compliance, in accordance with the legal bases and to the extent permitted by law.

24.2 The customer warrants that it has the right to provide KTC with personal data of its directors, staff, shippers, consignees and contacts, and has given those persons the necessary information.

24.3 KTC will handle personal data in accordance with the law and KTC’s privacy policy.

24.4 KTC may disclose shipment information to government agencies, subcontractors or related persons where necessary for transport, safety, inspection, enforcement of claims or legal compliance.

25. Notices and communication

25.1 Notices under these terms may be given by letter, email or the electronic channels the parties normally use to communicate.

25.2 An email notice is deemed received on the day it is sent if sent on a business day before 17:00, and on the next business day if sent after that time, unless the sender receives a message that it could not be delivered.

25.3 A notice by chat application is deemed received when the system shows the message was sent successfully, unless there is evidence that the message could not be accessed.

25.4 The customer must notify KTC immediately of any change in its name, address, email, telephone number or contact details.

25.5 If the customer does not notify a change, letters or messages sent to the previous contact details are deemed validly given, to the extent permitted by law.

26. Retention of documents

26.1 KTC may keep documents in paper or electronic form, and electronic copies may be used as evidence to the extent permitted by law.

26.2 The customer must keep original documents as required by law and provide them to KTC or government agencies on request.

26.3 KTC has no duty to keep documents beyond the period required by law or KTC’s data retention policy.

27. No waiver

Failure or delay by KTC in exercising a right is not a waiver, and exercising a right once does not prevent KTC from exercising that or any other right later.

28. Severability

If any provision is void, unlawful or unenforceable in whole or in part, the remaining provisions remain in effect, and that provision is to be interpreted or adjusted as necessary to come as close as possible to its original intent and be enforceable by law.

29. Assignment

29.1 The customer may not assign its rights, obligations or claims under the contract to another person without KTC’s written consent.

29.2 KTC may transfer or delegate all or part of its rights and obligations to affiliates, successors or subcontractors as needed for its operations and to the extent permitted by law.

30. Termination or suspension of services

30.1 KTC may terminate or suspend services immediately if the customer:

(1) Defaults on payment
(2) Provides false information or documents
(3) Hands over prohibited or dangerous goods without notice
(4) Breaches the law or these terms
(5) Becomes bankrupt, ceases business or there are reasonable grounds to believe it cannot pay its debts
(6) Acts in a way that may cause KTC or its subcontractors loss or legal risk

30.2 Termination or suspension does not affect KTC’s right to collect debts, costs, interest or damages incurred before or because of the termination.

30.3 The customer remains responsible for the costs of returning, storing, selling or handling the goods after termination.

31. Governing law and jurisdiction

31.1 These terms and the relationship between KTC and the customer are governed by the laws of the Kingdom of Thailand, without regard to conflict of laws principles.

31.2 Any dispute that cannot be settled is subject to the jurisdiction of the competent Thai courts in Bangkok, unless mandatory law provides otherwise.

31.3 KTC may also bring proceedings in any court with jurisdiction over the customer’s domicile, assets or place of business, to the extent permitted by law.

32. Language

If these terms are made in another language and there is any conflict or difference with the Thai version, the Thai version prevails, unless the parties agree otherwise in writing.

33. Amendment and effective date

33.1 These Terms and Conditions are effective from 20 July 2026.

33.2 KTC reserves the right to amend these Terms and Conditions as appropriate and will publish the amended version and the date of the latest update on KTC’s website.

33.3 Amended terms apply to quotations, bookings, shipments or services confirmed after the amended version takes effect, unless the law or a specific agreement provides otherwise.

33.4 Amendments to the terms on the website do not apply retroactively to shipments already confirmed, unless the customer and KTC agree in writing.

Important note

These Terms and Conditions are general conditions for KTC’s services. Prices, scope and specific conditions for each shipment may differ according to the quotation, booking confirmation, transport documents or specific agreements.

Where any provision of these terms conflicts with an applicable law or convention, that law or convention applies only to the extent it requires, and the remaining provisions stay in effect.

This English version is a translation of the Thai Terms and Conditions. Under clause 32, the Thai version prevails if there is any difference.
